A company stops trading. Its record has a billing cycle to live.
The most complete account of how a business actually worked is usually deleted a year or two after it closes, when somebody cancels the last subscription. Founders, administrators and acquirers can license it instead.
What we license
The operating record: internal correspondence, ticket and case history, process documents and runbooks, decision memos, board and investor material. Not the customer database. Personal data is identified and removed at inventory, before anyone reads anything.
An archive is raw material rather than a product. What we build from it is the set of processes that recurred inside the business, reconstructed end to end, with the exceptions and how each was settled.
Who can license it
- Founders and directors
- With authority under the wind-down resolution and the assignments on file.
- Administrators and liquidators
- Realising an asset that has had no bidder until now.
- Acquirers of an entity
- Who bought it for the contracts or the losses and hold the archive incidentally.
- Dormant companies
- Still registered, no longer operating, systems intact.
How an archive is handled
Rights first. An archive we cannot show the seller owns is an archive we do not take.
Authority
We establish who can license: the wind-down resolution, the administrator's appointment, or the acquisition documents.
A sample first
Before anything else, a small extract. It costs you almost nothing to produce and it tells us quickly whether there is anything here worth either side's time.
Inventory
We catalogue what exists and where the personal data sits, and hand you the manifest. You keep it whatever you decide.
Rights review
Counsel reads the assignments, the employment agreements and the customer contracts for anything that survives the company. Encumbered material is carved out.
Terms
Terms you set, and nothing transfers until you sign.
Depth over size
A small company with years of honest internal argument is worth more than a large one with a few months of it. The reasoning is the asset, not the volume.
Several systems, one business
Correspondence, cases and documents together beat any one of them, because the same decision can be read from more than one side.
Clean rights
Assignments on file and customer contracts without surviving restrictions shorten the review. Bring the paperwork.
Tell us what is left
What the company did, what state it is in, and which systems still exist. We reply within two business days.
